Terms of sale
Terms of Sale
These terms govern the commercial relationship between EURO AFRICAINE Transport & Logistics and its clients for all international transport and logistics services.
Article 1 — Purpose and scope
These General Terms of Sale (GTS) apply to all international transport, freight forwarding, warehousing and logistics services provided by EURO AFRICAINE Transport & Logistics (hereinafter “EURO AFRICAINE”) to its business clients. Placing an order implies unconditional acceptance of these GTS.
Article 2 — Quotations and orders
Quotations issued by EURO AFRICAINE are based on the information provided by the client and the rates applicable at the time of the offer. They are valid for the period indicated on the document. Any change in shipment conditions (weight, volume, nature, origin, destination) may result in a revised quotation.
An order is deemed firm upon receipt of a written purchase order or email confirmation from the client.
Article 3 — Client obligations
The client is responsible for providing EURO AFRICAINE, in a timely manner, with all information necessary for the performance of the service: exact nature of the goods, weight, dimensions, value, regulatory documents and specific instructions. Any inaccurate or incomplete information is the sole responsibility of the client.
Article 4 — Transit times
Transit times communicated are indicative and based on normal operating conditions. EURO AFRICAINE shall not be held liable for delays resulting from causes beyond its control: weather conditions, strikes, technical failures, customs decisions, port or airport congestion, or any other force majeure event.
Article 5 — Rates and invoicing
Services are invoiced at the rates agreed in the accepted quotation. Surcharges related to changes in transport indices (BAF, CAF, GRI, fuel surcharges) applicable at the time of loading may be passed on to the client if they were not foreseeable at the time of the quotation.
Unless otherwise agreed in writing, invoices are payable within 30 days of the invoice date. Any late payment will incur penalties at the applicable Moroccan legal rate.
Article 6 — Liability
The liability of EURO AFRICAINE, acting as a freight forwarder, is limited in accordance with applicable international conventions (CMR for road, Warsaw/Montreal Convention for air, Hague-Visby Rules for sea) and the FIATA General Conditions. EURO AFRICAINE shall not be liable for indirect damages, loss of business or loss of profit.
Article 7 — Insurance
EURO AFRICAINE holds professional liability insurance. Clients are strongly advised to take out ad valorem insurance covering the real value of their goods. EURO AFRICAINE can, on request, arrange this insurance on behalf of the client, at the client’s expense.
Article 8 — Claims
Any claim relating to damage or loss must be submitted in writing within the time limits set by applicable international conventions (generally 3 days for sea and road, 14 days for air). Reservations must be made at delivery in the presence of the carrier.
Article 9 — Applicable law and jurisdiction
These GTS are governed by Moroccan law. In the event of a dispute, the parties shall endeavour to reach an amicable settlement. Failing this, the dispute shall be submitted to the exclusive jurisdiction of the Commercial Court of Casablanca.
